Venture Capital Transaction

We assisted a technology client in connection with the completion of a $40 million venture capital funding. In connection with this transaction, we were invloved in negotiation and structuring of the rights and preferences of the venture capital fund, renegotiation of the rights of exhisting shareholders, and reorganization of the company as a Delaware corporation. We also negotiated employment agreements of key employees, worked out an agreement regarding protection of intellectual property, and helped structure the transaction so that a significant portion of funds invested were paid to existing shareholders.
